EDX UniText アプリケーション・利用規約

株式会社NTT EDX（以下「当社」といいます。）は、当社が提供する電子教科書・教材配信サービス「EDX UniText」（以下「本サービス」といい、本サービスに使用されるアプリを「本アプリ」といいます。）について、以下の通りEDX UniText アプリケーション・利用規約（以下「本利用規約」といいます。）を定め、本利用規約に同意するお客様（以下「ユーザー」といいます。）に対して、本アプリの使用を許諾いたします。

1.（本利用規約の適用）

（1）当社が別途掲載する「EDX UniTextアプリケーション・プライバシーポリシー」その他の本サービス・本アプリの利用に関するルールは、本利用規約の一部を構成するものとし、バージョンアップ時に別の定めが適用されない限り、本アプリについて当社が提供する一切のバージョンアップにも適用されます。

（2）当社が、これらのポリシー、ルールを含む本利用規約を変更する場合には、本アプリを使用するユーザーは、変更後の本利用規約が本アプリにおいて明示された後に、本アプリ上で同意の意思表示をすることによって、これらについて同意したことになります。なお、本利用規約は、当社とユーザーの間の契約の内容であり、本アプリを用いて表示される電子教科書及び電子教材等のコンテンツに係る権利者又は当該コンテンツ若しくは本アプリの配信事業者を含むいかなる第三者をも拘束するものではありません。

2.（利用条件）

本アプリの利用範囲は、欧州経済領域（EEA）及びイギリスを除く地域とします。なお、株式会社大学生協事業センターが運営する電子書籍販売サイトである「VarsityWave eBooks」経由で電子書籍を購入したユーザーについては、本アプリの利用範囲は日本国内に限定されるものとします。

3.（配信）

（1）ユーザーは、本アプリを使用して、当社が別途指定するウェブサイト（以下「配信サイト」といいます。）等において配信される電子教科書及び電子教材等のコンテンツをウェブブラウザ上で閲覧し、又はユーザーの電子機器にダウンロードすることができます。

（2）特定の権限を持つユーザーは、本アプリを使用して、配信サイト等において、自己が作成した電子教材等のコンテンツ（以下「独自教材」といいます。）を登録の上、自己の責任において配信することができます。特定の権限を持つユーザーは、独自教材について、内容の誤りその他の瑕疵が認められる場合には、自己の責任と費用負担において修補、交換、修正等を行うものとします。

4.（利用環境）

（1）本アプリ若しくはストリーミングするためのプログラムは、当社が動作確認済みの機器、OS等における利用が前提とされており、ユーザーの利用環境が当社の利用条件を充足しない場合、本アプリが正常に機能しない場合があります。ユーザーは本サービスがインターネット等の通信回線を通じて提供されるSaaS型のサービスであり、ユーザー自身の設備またはその他外部サービスの性能、仕様もしくは通信環境等により可用性、通信速度、応答速度等が変化する前提を了解し、これに起因して生じる問題に関し、当社に対し何らの請求も行わないものとします。

（2）本アプリ若しくはストリーミングするためのプログラム上におけるコンテンツのダウンロード又は動画の再生には、インターネット等への通信が必要になり、本アプリを使用するための機器等の準備、維持、インターネット接続等にかかる費用は、ユーザーが負担するものとします。また、動画は、インターネットを通じて提供されるため、通信又は通信速度が十分ではない環境では、再生が制限されることがあります。なお、配信サイトから電子教科書及び電子教材等のコンテンツをダウンロード、又は本アプリを通じて配信サイトの動画コンテンツを視聴するにあたり、当該配信サイトを管理・運営する第三者が別途定める規約への同意が必要になる場合があります。

（3）本アプリ若しくはストリーミングするためのプログラムは、日本語OSでのみ利用を保証します。

5.（内容変更、中断及び終了）

（1）当社は、当社の判断により、ユーザーに予告することなく、本アプリの機能を変更し、又は、本アプリの機能の一部若しくは全部の提供を停止、中断又は終了することがあります。

（2）本アプリ並びに本アプリによる電子教科書及び電子教材等の提供は、当該本アプリ又は電子教科書若しくは電子教材等の提供者等と当社との個々の契約に基づくものであり、かかる契約が終了した場合には、ユーザーへの予告の有無にかかわらず、本アプリの利用や特定の電子教科書又は電子教材等の閲覧・視聴等ができなくなることがあります。また、当社は、ユーザーが本利用規約に違反した場合、その時点で直ちにそのユーザーにつき本アプリの利用を終了させることができるものとします。

6.（ID・アカウント情報）

（1）当社は、本サービスを含む当社の複数のサービスに適用される包括的な識別符号として、「EDX ID」を定めるものとします。ユーザーは、本サービスを利用するにあたり、当社が定める方法によりEDX IDその他の本サービスに使用するID（以下「ID」といいます。）を作成し、又は付与されたIDを使用するものとします。

（2）ユーザーは、本サービスに使用するID・パスワード等の識別符号（以下合わせて「アカウント情報」といいます。）を用いることにより、配信サイトにおいて当該アカウント情報に関連付けられたコンテンツをダウンロード、閲覧又は再生することができます。

（3）ユーザーは、自己の責任においてアカウント情報を運用・管理するものとし、第三者に譲渡、貸与、開示してはならないものとします。なお、ユーザーのアカウント情報を用いて行われた行為は、ユーザー自身の行為とみなされるものとし、ユーザーは、その結果について一切の責任を負うものとします。また、ユーザーは、ID・パスワードがユーザーを除く第三者によって不正に利用されたことに気づいた場合には、直ちにその旨を当社に通知するものとします。

7.（権利の帰属）

（1）本アプリ並びにこれに関連する全ての電子教科書及び電子教材等のコンテンツ、テキスト、画像及びプログラムの著作権、商標、商号又はサービスの名称等に関する権利は、当社又は当社にその利用を認めた権利者（独自教材の作成者であるユーザーを含みます。）に帰属し、著作権法、商標法その他関連する知的財産権に関する法律によって保護されています。本利用規約におけるいかなる記載も、ユーザーに対するこれらの知的財産権の使用許諾を意味するものではありません。

（2）ユーザーは、本アプリを、レンタル、リース、貸与、販売、譲渡、配布、送信可能化、又はサブライセンスをすることはできません。また、ユーザーは、本アプリの全部又は一部について、複製、逆コンパイル、リバースエンジニアリング、逆アセンブル、ソースコードの解明の試み、改変、又は二次的著作物の創作を行うことはできません。これらの行為は、当社及びその権利元の権利の侵害となります。

8. （個人情報及びログ等）

（1）当社は、「EDX UniTextアプリケーション・プライバシーポリシー」に従ってユーザーの個人情報を取り扱うものとします。

（2）ユーザーは本利用規約への同意をもって、当社の「EDX UniTextアプリケーション・プライバシーポリシー」に従って自己の個人情報が取り扱われることに同意するものとします。

（3）ユーザーが本アプリを利用することにより蓄積される利用ログ（アノテーションに関するログを含みますが、(4)に定義するアノテーションのデータ本体は含みません。以下同じです。）の使用権限及び知的財産権は、当社に帰属します。なお、ユーザーは、本アプリを利用することにより、利用ログの使用権限及び知的財産権の使用又は実施を許諾されたとはみなされません。

(4) ユーザーが本アプリを利用することにより蓄積されるアノテーションのデータ本体（ユーザーが作成したアノテーションの記述内容自体をいいます。以下同じです。）の知的財産権はユーザーに帰属します。ただし、ユーザーが当社に対して特段の意思表示をしない限り、当社は、当該アノテーションのデータ本体について、地域・期間の定めなく、無償で、分析、広報、販促活動、本サービス・本アプリその他当社又は提供先における関連サービスの新規企画立案・開発・改善・管理、システムの円滑な運用及び障害発生時の対応等の目的に必要な範囲内で、自由に利用（複製、翻案、公衆送信、第三者への再許諾等を含みます。）することができるものとします。

9.（保証の否認）　

当社は、本アプリが支障なく利用できること若しくは誤りなく作動すること、又はこれらの不具合が修正されることを保証しません。当社は、本アプリについて、その正確性、完全性、有効性、有用性、適法性、適切性、信頼性、第三者の権利の非侵害性等を含め、また、これらに限定されない全ての事柄について、一切保証するものではありません。

10.（責任の制限）　　

当社が本利用規約上認められた権利又は権限を行使することによりユーザーに損害が生じた場合、当社はかかる損害を賠償する義務を負うことはなく、また、本アプリの使用又は使用不能に起因若しくは関連する、損害又は損失については、当社による本利用規約違反が無い限り、当社はその責任を負いません。当社が本利用規約に違反したことによりユーザーに対して損害賠償責任を負う場合、その賠償額は、その損害発生の原因となった事由が生じた日から遡って６ヶ月間に当該ユーザーが実際に支払った電子教科書・教材の代金に基づき当社が現実に収受した売上額を上限とします。なお、当社は、配信サイトにおいて配信される電子教科書及び電子教材等のコンテンツについては、一切の責任を負いません。ユーザーが配信（登録を第三者に委託している場合を含みます。）した独自教材に関して第三者との間で問題が発生した場合、当該ユーザーが自己の責任と費用負担において当該問題を解決するものとします。

11．（禁止事項）

ユーザーは、本サービス・本アプリを利用するに当たり、次の行為を行わないものとします。万一、ユーザーが当該禁止行為その他本利用規約に違反する行為を行い、当社に損害が生じた場合、ユーザーは当該損害を賠償するものとします。

(1) 本サービス・本アプリの利用申込の際に虚偽の内容を登録する行為

(2) 当社若しくは第三者の著作権、商標権等の知的財産権を侵害する行為

(3) 第三者の財産、プライバシー若しくは肖像権を侵害する行為

(4) 当社の設備に蓄積された情報を不正に書き換え、又は消去する行為

(5) 他者になりすまして本サービス・本アプリ若しくは電子教科書・教材等を利用する行為又は他者によるなりすましやID・パスワードの不正利用行為に協力する行為

(6) 当社の設備等又は本サービス・本アプリに関するインターネット接続サービス用設備の利用若しくは運営に支障を与える行為

(7) 犯罪や違法行為に結びつく、又はそのおそれの高い行為若しくはこれらを助長する行為

(8) 本サービス・本アプリの運営を妨害する行為

(9) 公序良俗に違反する行為

(10)本サービス・本アプリを2．（利用条件）において定められた国以外で利用する行為

(11) その理由、目的を問わず、本アプリ若しくは電子教科書・教材等に用いられている技術的保護手段又は技術的制限手段を解除、変更、無効化等、回避する一切の行為

(12) 本利用規約又は配信サイトに記載された禁止事項その他の指定・制限に反する行為

(13)前各号のいずれかに該当する行為、若しくは該当するおそれのある行為又はこれらを助長する態様、若しくは目的でインターネット上のウェブサイトにリンクをはる行為

(14) その他当社が不適当と判断する行為

12.（独自教材の当社による取扱い）

（1）当社は、独自教材を善良な管理者の注意をもって保管し、作成者であるユーザーの事前の承諾なく、本サービス以外の目的に使用いたしません。

（2）当社は、独自教材が前条その他の本利用規約のいずれかの規定に違反すると合理的な根拠に基づき判断する場合、又は本アプリの円滑な提供、改良、メンテナンス等に必要と判断する場合、事前の予告なく独自教材の配信期間の変更、独自教材の配信停止、独自教材の削除その他の必要な措置を行うことができます。

（3）作成者であるユーザーからの要請があった場合、当社は、独自教材の配信を中止し、当該ファイルをサーバーから削除いたします。ただし、閲覧者であるユーザーが電子機器にダウンロードした複製物についてはこの限りではありません。

13.（準拠法・裁判管轄）

本利用規約の効力、履行及び解釈に関しては、日本国法が適用されるものとします。本サービス・本アプリに関し当事者間で訴訟の必要が生じたときには、東京地方裁判所又は東京簡易裁判所を第一審の専属的合意管轄裁判所とします。

EDX UniText アプリケーション・プライバシーポリシー

株式会社NTT EDX（以下「当社」といいます。）は、当社が提供する電子教科書・教材配信サービス「EDX UniText」（以下「本サービス」といい、本サービスに使用されるアプリを「本アプリ」といいます。）において、本サービスを利用するユーザー（以下「ユーザー」といいます。）の個人情報を取り扱うにあたり、個人情報の保護に関する法令及び「NTTグループ情報セキュリティポリシー」を遵守し、このアプリケーション・プライバシーポリシーを定めることでユーザーの個人情報の保護に努めます。

当社は、このアプリケーション・プライバシーポリシーを全役職員に周知徹底し確実に履行するとともに、個人情報保護に係る社会的ニーズの変化等に応じて当社の個人情報の管理の仕組みを適宜見直し、継続的に改善いたします。

1. 個人情報の取得

1.1. 当社は、次の方法で個人情報を適正かつ公正に取得いたします。

（１）ユーザー及びユーザーが所属する企業・学校・団体等（当該団体等の教職員も含みます。）又はこれらを設置・管理・運営する法人から本アプリを通じて提供を受ける方法

（２）ユーザーが本アプリを利用する際に自動的に個人情報を取得する方法

（３）第三者から間接的にユーザーの個人情報の提供を受ける方法

1.2. 当社が上記の各取得方法によって取得する個人情報は以下のとおりです。

（３）第三者から間接的に個人情報の提供を受ける方法	・ユーザーが購入した電子教科書及び電子教材等に関する情報・ユーザーが他の電子教科書・教材の配信・購入サービス等を利用する場合における登録情報のうち、本サービスに引き継がれる情報（ユーザーの氏名、学籍番号（教職員番号）、メールアドレス、入学年度、取得時の年次、所属情報（企業・学校・団体・学部・学科等の名称）、ID、利用履歴、アノテーション情報、電子教科書及び電子教材等の購入履歴等）

1.3. 本アプリは、その情報単体では個人情報に該当しない属性情報（例：年齢・性別・職業・居住地域）、購買情報、Cookie、IPアドレス、広告識別子（AAID・IDFA）、位置情報・行動履歴といったインターネットの利用にかかるログ情報等の個人に関する情報（以下総称して「インフォマティブ情報」といいます。）を取得しています。ユーザーが本アプリの利用にあたり当社に個人情報を提供した場合、本アプリは、当該情報と、当該ユーザーのインフォマティブ情報を紐付ける場合がありますが、この場合には当該インフォマティブ情報も個人情報として取り扱います。

2. 個人情報の利用目的

2.1. 当社は、取得した個人情報を次の目的で利用いたします。

（１）本人確認・認証のため

（２）当社サービスの提供・改善・開発のため

（３）ユーザーが本サービス・本アプリを円滑に利用できるようにするため

（４）ユーザーからのお問合せやサポートに対応するため

（５）今後の当社サービスに関する新規企画立案のため

（６）商品購入時や有料サービス利用時における請求処理のため

（７）取得情報を集計・分析し、当社サービスの改善につなげるため

（８）電子教科書及び電子教材等を使った学習方法に関する分析、電子教科書及び電子教材等を利用した講義に関する分析、電子教科書及び電子教材等に適したコンテンツに関する分析等及び電子教科書及び電子教材等の利用の改善・促進に関する分析・広報・販促活動のため

（９）当社及び他社の商品・サービス、キャンペーン等に関する連絡・提案のため

（１０）本アプリのセキュリティ・不正利用防止のため

（１１）「3．個人情報等の第三者への開示・提供」及び「4．個人情報等の第三者との共同利用」に記載される第三者による利用及び当該第三者による利用のために必要となる当社による利用のため

（１２）その他上記の利用目的に準ずる利用のため

2.2. 当社では、本アプリ以外で適正に取得したお客さまの個人情報を利用することがあります。また、当社は、本アプリを通じて取得した個人情報とこれらの個人情報とを組み合わせた上で、上記の利用目的の範囲で利用することがあります。

2.3. 当社は、「法令で認められる場合」を除いて、あらかじめご本人から同意を得ないで、個人情報を第三者に提供いたしません。なお、「法令で認められる場合」には、次の場合が含まれます。

（１）法令に基づく場合

（２）人の生命、身体又は財産の保護のために必要がある場合であって、本人の同意を得ることが困難であるとき。

（３）公衆衛生の向上又は児童の健全な育成の推進のために特に必要がある場合であって、本人の同意を得ることが困難であるとき。

（４）国の機関若しくは地方公共団体又はその委託を受けた者が法令の定める事務を遂行することに対して協力する必要がある場合であって、本人の同意を得ることにより当該事務の遂行に支障を及ぼすおそれがあるとき。

3. 個人情報等の第三者への開示・提供

当社は、「2. 個人情報の利用目的」で定める利用目的の範囲内で、次のとおり、取得した個人情報を書面又は電磁的な方法により第三者に開示・提供いたします。

（１）ユーザーが所属し又は所属していた企業・学校・団体等（当該団体等の教職員も含みます。）への提供

・ユーザーに対する学習に関する情報のフィードバック、指定電子教科書・電子教材等の情報提供、電子教科書・電子教材等の配信その他のサービス提供のため

（２）当社サービスを利用する企業・学校・団体等（当該団体等の教職員も含みます。）、電子教科書・電子教材等の出版元・制作者並びに当社の株主であるNTT西日本株式会社、大日本印刷株式会社及びNTT東日本株式会社（以下「株主３社」といいます。）並びに株主３社の各グループ会社（以下総称して「当社グループ会社」といいます。）への提供

・当社サービス、本アプリその他当社又は提供先における関連サービスの新規企画立案・開発・改善・管理のため

（３）本サービスに関するシステム運用、機能拡張、新規サービス開発等に関係する協業先への提供

4. 個人情報等の第三者との共同利用

当社は、以下の利用目的の達成のため、次の範囲内で個人情報を共同利用いたします。

（１）共同利用される個人情報の項目

ユーザーの ID、アカウント情報及び氏名、所属する企業・学校・団体・学部・学科等の名称、学籍番号（教職員番号）、電子教科書・電子教材等の利用履歴、アノテーション情報、電子教科書等の購入履歴（いずれも、以下の（２）に掲げる者と当社との協業範囲内のユーザーに関する情報に限ります。）

（２）共同利用する者の範囲及び利用目的

㋐　ユーザーが使用する電子教科書・教材等を販売・管理等する書店、販売店、大学生協その他の電子教科書・教材等の販売事業者

5. 個人情報の保管と削除について

当社は、取得した個人情報について、当社において継続して当該個人情報を保管する必要がなくなったと判断した場合、当該判断から一定期間経過後に削除することがあります。

6. 個人情報取扱業務の委託について

6.1. 当社は、取得した個人情報の取扱業務の全部又は一部を外部委託することがあります。この場合、当社は当該委託先に対して必要かつ適切な監督を行います。

6.2. 当社は、本サービスを利用する企業・学校・団体等（当該団体等の教職員も含みます。）や当社グループ会社から個人情報の取扱業務の全部または一部を委託された場合、当該業務の遂行のために、当該個人情報を取り扱います。

7. 個人情報の開示等の申請に関する手続

7.1. 当社は、取得した個人情報に関して、ご本人又はその代理人から、利用目的の通知、開示、内容の訂正、追加又は削除、利用の停止、消去及び第三者への提供の停止について請求等（以下、「開示等の請求等」といいます。）をいただいた場合には、遅滞なく対応いたします。なお、当社は、関係法令に基づき、開示等の請求等をお断りする場合がありますので、予めご了承ください。

7.2. 開示等の請求等をご希望の場合、当社お問合窓口までお問い合わせください。受付手続についての詳細は、お問い合わせいただいた際にご案内いたします。なお、手続にあたっては、ご本人を確認できる書類をご提出いただきます（代理人による手続にあたっては、ご本人及び代理人のそれぞれについて、当該書類をご提出いただきます。）。

8. アプリケーション・プライバシーポリシーの変更

個人情報保護法に基づき許容される範囲内において、当社は、このアプリケーション・プライバシーポリシーの全部又は一部を変更することがあります。変更した場合には、本アプリ上に変更後のアプリケーション・プライバシーポリシーを表示します。変更後のアプリケーション・プライバシーポリシーは、当社が別途定める場合を除いて、本アプリ上に表示された時から効力を生じることとします。

9. 個人情報提供の任意性と提供サービスの範囲

本アプリを通じてのお客様の個人情報のご提供は、お客様の任意のご判断に基づきます。ただし、本サービスの提供等のために必要となる個人情報がご提供いただけない場合には、本サービスのご利用が制限されることがありますので、あらかじめご了承ください。

本アプリに関する個人情報の管理者は下記の通りです。ご提供いただいた個人情報に関するお問合せは、下記までご連絡をお願いいたします。

EDX UniText Application Terms of Use

NTT EDX CORPORATION (“NTT EDX”) has established this EDX UniText Application Terms of Use (“Terms of Use”) for EDX UniText ("Service", and the application used for Service, “Application”), an electronic textbook and electronic teaching materials distribution service provided by NTT EDX, and grants use of Application to customers (“User”) who agree to Terms of Use.

1. (Application of Terms of Use)

(1) The EDX UniText Application Privacy Policy represented separately by NTT EDX and other rules concerning the use of Service and Application shall form part of the Terms of Use and shall apply to any updates provided by NTT EDX with respect to Application, unless otherwise specified upon such version updated.

(2) If NTT EDX changes the Terms of Use including aforementioned policies and rules, Users of Application agree to the changed Terms of Use by indicating their consent on Application after the changed Terms of Use are clearly displayed on Application. For the avoidance of doubt, the Terms of Use are the terms and conditions of the agreement between NTT EDX and User, and do not bind any third parties including the rights holders of the contents such as electronic textbooks and electronic teaching materials displayed on Application or the distributors of such contents or Application.

2. (Conditions of Use)

Application may be used only in the regions other than the European Economic Area (EEA) and the United Kingdom. For Users who purchase e-books via VarsityWave eBooks, an e-book sales site operated by the University Coop Tourism & business, the permitted area of use of Application shall be limited to Japan.

3. (Distribution)

(1)User may browse, or download to their own electronic devices, the contents such as electronic textbooks and electronic teaching materials distributed on websites designated separately by NTT EDX ("Distribution Website"), etc., by using Application.

(2) Users with specific permissions may use Application to register and distribute their own electronic teaching materials and other content ("Original Teaching Materials") on Distribution Website, etc., at their own risk. If any errors or other defects are found in Original Teaching Materials, User shall repair, replace, or correct them at their own responsibility and expense.

4. (System Requirements)

(1) Application or the program for streaming is assumed to be used on devices, operating systems, etc. which NTT EDX has confirmed operation on. If the usage environment of User does not satisfy NTT EDX's system requirements, Application may not function properly. User acknowledges that the Service is provided as a SaaS-based service via communication networks such as the Internet, and that its availability, communication speed, and response time may vary depending on the performance, specifications, or communication environment of User’s own equipment or other external services. User agrees not to make any claims against NTT EDX for any issues arising from such variations.

(2) Downloading contents or playing videos in Application or streaming program requires connection to the Internet, etc., and the costs of preparing and maintaining devices for using Application and connecting to the Internet, etc. shall be borne by User. Also, because movies are provided over the Internet, play may be restricted in an environment where connection or connection speed is insufficient. In order to download content such as electronic textbooks and educational materials from Distribution Website, or to view video contents on Distribution Website through Application, User may be required to agree to the terms separately stipulated by a third party who manages and operates Distribution Website.

(3) Application or program for streaming is guaranteed to be usable only in Japanese operating systems.

5. (Modification, Suspension and Termination)

(1) NTT EDX may, at its discretion, modify the functions of Application, or stop, suspend or terminate the provision of some or all of the functions of Application without prior notice to User.

(2) The provision of Application and electronic textbooks, electronic teaching materials, etc. through Application is based on the individual agreements between NTT EDX and the provider of Application or provider of electronic textbooks, electronic teaching materials, etc. Therefore, in the event of the termination of such agreements, the use of Application and the access to reading, video, and audio material of certain electronic textbooks, electronic teaching materials, etc. may be disabled, regardless of whether or not there is prior notice to User. In addition, NTT EDX may immediately terminate the use of Application for any User who violates these Terms of Use.

6. (ID and Account Information)

(1) EDX ID shall serve as a comprehensive identification code applicable across multiple services provided by NTT EDX, including this Service.In using this Service, users shall create, in accordance with the methods prescribed by NTT EDX, the EDX ID and other IDs used for this Service, or shall use an ID assigned to them (hereinafter referred to as the “ID”).

(2) User may download, view, or play the contents associated with the relevant account information, such as ID and password (collectively, "Account Information"), on Distribution Website by using Account Information.

(3) User shall operate and manage Account Information at their own responsibility and shall not transfer, lend or disclose it to any third party. Any act performed using User's account information shall be deemed to be User's own act, and User shall be responsible for any and all consequences thereof. In addition, if User becomes aware that the ID or password has been falsely used by a third party other than User, User shall immediately notify NTT EDX thereof.

7. (Ownership of Rights)

(1) The copyrights, trademarks, trade names, or service names of the contents, texts, images, and programs of Application and all related electronic textbooks and electronic teaching materials belong to NTT EDX or the rights holders authorizing NTT EDX to use thereof (including Users who created Original Teaching Materials), and are protected by copyright laws, trademark laws, and other applicable intellectual property laws. Nothing contained in Terms of Use shall constitute a license to User of such intellectual property rights.

(2) User may not rent, lease, lend, sell, transfer, distribute, make transmittable, or sublicense Application. User may not reproduce, decompile, reverse engineer, disassemble, attempt to decipher the source code, modify, or create derivative works of all or any part of Application. These actions constitute an infringement of the rights of NTT EDX and the right holders.

8. (Personal Information and Logs, Etc.)

(1) NTT EDX will handle User’s personal information in accordance with EDX UniText Application Privacy Policy.

(2) User hereby agrees, by accepting Terms of Use, that its personal information will be treated in accordance with NTT EDX UniText Application Privacy Policy.

(3) The right of use and intellectual property rights regarding the data of usage logs accumulated through User’s use of Application (including logs related to annotations but excluding the actual data of annotations as defined in (4), the same applies hereinafter) shall belong to NTT EDX. The use of Application will not grant User any license or any other rights for the use or intellectual property rights for usage logs.

(4) The intellectual property rights for the actual data of annotations accumulated through User’s use of Application (meaning the description itself of the annotation created by User, the same applies hereinafter) shall belong to User. However, unless User makes a specific declaration of intent to NTT EDX, NTT EDX may freely use the actual data of annotations without any limitation on territory or period, free of charge (including reproduction, adaptation, public transmission, and sublicensing to third parties), to the extent necessary for purposes such as analysis, publicity, promotional activities, new project planning, development, improvement, management of Service, Application and related services provided by NTT EDX or the party to which NTT EDX provide the actual data of annotations, and smooth operation of the system and response to malfunctions.

9. (Denial of Guarantee)

NTT EDX will not guarantee that Application will be usable without difficulty or function without error or that any defect thereof will be corrected. NTT EDX will not in any way guarantee in any aspect of Application including, but not limited to, Application’s accuracy, completeness, effectiveness, utility, legality, appropriateness, reliability, or non-infringement of third party rights.

10. (Limitation of Liability)

NTT EDX shall not be liable for any damages suffered by User caused by the exercise of NTT EDX’s right or power hereunder. In addition, NTT EDX shall not be liable for any damages or losses caused by or related to the use or inability to use of Application, unless such damages of losses are caused by the breach of Terms of Use by NTT EDX. In the event that NTT EDX is liable for damages to User for NTT EDX’s violation of Terms of Use, the total amount of such damages shall be limited to the amount of sales actually received by NTT EDX based on the actual payments for the electronic textbooks and electronic teaching materials made by such User during the six-month period prior to the date of occurrence of the cause for such damages. For the avoidance of doubt, NTT EDX shall not be responsible for any contents such as electronic textbooks and electronic teaching materials distributed on Distribution Website. In the event that problems arise between User and a third party regarding Original Teaching Materials distributed by User (including cases where registration is entrusted to a third party), User shall resolve such problems at their own responsibility and expense.

11. (Prohibited Matters)

User shall not perform the following actions when using Service and Application. In the event that User engages in such prohibited acts or other acts in violation of Terms of Use and causes damage to NTT EDX, User shall compensate for any and all damages suffered by NTT EDX.

(1) The act of registering false information when applying for use of Service and Application.

(2) An act of infringing intellectual property rights such as copyrights, trademark rights and so forth of NTT EDX or any third party.

(3) Acts that infringe the property right, privacy right or portrait right of any third party.

(4) Unauthorized rewriting or deletion of information stored in NTT EDX facilities or equipment.

(5) Acts of using Service and Application or electronic textbooks and electronic teaching materials by impersonating others, or acts of cooperating with impersonation or unauthorized use of IDs and passwords by others.

(6) Acts that hinder the use or operation of NTT EDX’s facilities, equipment, etc., or the facilities or equipment for the Internet connection services related to Service and Application.

(7) Acts that lead to, or are likely to lead to, a crime or an illegal act, or acts that encourage such an act.

(8) Acts that interfere with the operation of Service and Application.

(9) An act that violates public order and morals.

(10) The act of using Service and Application in a country other than the permitted countries specified under Section 2 of Terms of Use.

(11) Any act to avoid (by way of cancellation, modification, disablement or otherwise) any technical protection measures or technical restriction measures used in Application or electronic textbooks or electronic teaching materials, regardless of the reason or purpose.

(12) Any act that breaches any prohibition or other designated restriction stipulated in Terms of Use or Distribution Website.

(13) An act that falls or is likely to fall under any of the preceding items, or an act of adding a link to a website on the Internet for the purpose of encouraging or promoting such an act.

(14) Any other acts that NTT EDX deems inappropriate.

12. (Handling of Original Teaching Materials by NTT EDX)

(1) NTT EDX will store Original Teaching Materials with the care of a good manager and will not use them for purposes other than Service without the prior consent of User, who is the creator of them.

(2) If NTT EDX reasonably determines that Original Teaching Materials violate any provision of the preceding article or other provisions of Terms of Use, or if it is deemed necessary for the smooth provision, improvement, maintenance, etc., of Application, NTT EDX may, without prior notice, change the distribution period of Original Teaching Materials, stop the distribution of Original Teaching Materials, delete Original Teaching Materials, or take other necessary measures.

(3) Upon request from User, who is the creator of Original Teaching Materials, NTT EDX will stop the distribution of them and delete the relevant files from the server. However, this shall not apply to copies downloaded by User, who is the viewer, onto electronic devices.

13.(Governing Law and Jurisdiction)

The validity, implementation and interpretation of Terms of Use shall be governed by the laws of Japan. The Tokyo District Court or the Tokyo Summary Court shall be the exclusive court of first instance in the event that a legal action is required between the parties with respect to Service and Application. The Japanese text of Terms of Use shall be the original text, and in the event of any discrepancy between the Japanese and English versions of Terms of Use, the Japanese version shall prevail.

EDX UniText Application Privacy Policy

NTT EDX CORPORATION ("NTT EDX") strives to protect user’s personal information by establishing this Application Privacy Policy and complies with the laws and regulations concerning the protection of personal information and "NTT Group Information Security Policy", in handling personal information of the user (“User” ) of the EDX UniText ("Service", and the application used for Service, "Application"), the electronic textbook and teaching material distribution service.

NTT EDX will thoroughly inform all its officers and employees of this Application Privacy Policy and ensure its implementation, and will review and continuously improve NTT EDX's personal information management system in response to changes in social needs related to the protection of personal information.

1. Acquisition of Personal Information

1.1. NTT EDX obtains personal information in a proper and fair manner by the following methods.

（１） Method provided through Application from User and companies, schools, organizations, etc. to which User belongs (including faculty and staff of such organizations), or the corporation that establishes, manages, or operates such institution.

（２） Method of automatically acquiring personal information when User uses Application.

（３） Method of receiving personal information of User indirectly from a third party.

1.2. Personal information that NTT EDX acquires through each of the above acquisition methods is as follows.

(3) Method of receiving personal information indirectly from a third party	・Information on electronic textbooks and teaching materials purchased by User. ・Information that will be handed over to this service from the registered information of other electronic textbooks and materials services used by Users (including, but not limited to, User's name, student ID number (or employment ID number), email address, year of enrollment, year at acquisition, affiliation information (name of companies, schools, organizations, faculty, department, etc.), EDX ID, usage logs, annotation information, the electronic textbooks and electronic teaching materials purchase history)

1.3. Application acquires information related to individuals such as attribute information (e.g. age, gender, occupation, area of residence), purchase information, cookies, IP address, advertising identifiers (AAID and IDFA), and log information related to the Internet use such as location information and activity history that are not considered personal information by itself (“Informative Information”). If User provides personal information to NTT EDX in relation to the use of Application, Application may associate such personal information with User's informative information. In this case, Informative Information will also be treated as personal information.

2. Purpose of Use of Personal Information

2.1. NTT EDX will use the personal information obtained for the following purposes.

（１） For identity verification and authentication.

（２） To provide, improve and develop any of NTT EDX’s services.

（３） To enable User to use Service and Application smoothly.

（４） To respond to inquiries by User and to provide User with user support.

（５） For new planning for any of NTT EDX’s future services.

（６） For billing purpose when User’s purchasing goods or using paid services.

（７） Collecting and analyzing acquired information to improve any of NTT EDX’s services.

（８） For analysis of learning methods using the electronic textbooks and electronic teaching materials , analysis of lectures using the electronic textbooks and electronic teaching materials, analysis of content suitable for the electronic textbooks and electronic teaching materials, etc., and analysis, public relations and sales promotion activities to improve and promote the use of the electronic textbooks and electronic teaching materials.

（９） For the purpose of communication and proposals related to products, services or campaigns, etc. of NTT EDX or other companies.

（１０） For security and prevention of unauthorized use of Application.

（１１） For use by a third party described in Section 3 (Disclosure and Provision of Personal Information, etc. to Third Parties) and Section 4 (Joint Use of Personal Information, etc. with Third Parties) and for use by NTT EDX that is necessary for such third party's use.

（１２） For other purposes equivalent to the above-mentioned purposes of use.

2.2. NTT EDX may use User’s personal information that has been properly obtained outside the use of Application. In addition, NTT EDX may use such personal information obtained outside the use of Application in combination with personal information obtained through Application within the scope of the purpose of use described above.

2.3. NTT EDX will not provide personal information to third parties other than those to whom the consent of User has been obtained in advance, except for the "cases permitted by laws and regulations". “Cases permitted by laws and regulations” include the following cases.

（１） Cases under laws and regulations.

（２） Cases where it is necessary for the protection of the life, body or property of a person and where it is difficult to obtain the consent of the principal.

（３） Cases where it is particularly necessary for the improvement of public health or the promotion of the sound upbringing of children, and where it is difficult to obtain the consent of the principal.

・To provide feedback on User’s learning, based on User's learning status, course completion status, and other User's usage history and annotation information to faculty and staff of schools, including higher education institutions; to conduct analysis of learning methods using the electronic textbooks and electronic teaching materials, analysis of lectures using the electronic textbooks and electronic teaching materials, and analysis of content suitable for the electronic textbooks and electronic teaching materials; and to conduct analysis and public relations and sales promotion activities to improve and promote the use of the electronic textbooks and electronic teaching materials.

・To provide feedback on User’s learning to User, to provide information on the designated electronic textbooks and electronic teaching materials to User, to distribute the electronic textbooks and electronic teaching materials to User, and to provide the other services to User.

（２） Provision to companies, schools, organizations, etc. using any of NTT EDX’s service, publishers and producers of the electronic textbooks and electronic teaching materials, and NTT EDX’s shareholders NTT WEST, Inc., Dai Nippon Printing Co., Ltd., and NTT EAST, Inc. ("Three Shareholders") and the group companies of each of Three Shareholders (collectively "NTT EDX 's Group Companies").

User's account ID and information, name, name of companies, schools, organizations faculty, department, etc. to which User belongs, student ID number (or employment ID number), usage log of electronic textbooks, electronic teaching materials, etc., annotation information, purchase history of electronic textbooks, etc. (all of which are limited to the information on User within the scope of collaboration between NTT EDX and the parties listed in (2) below.)

（２） Scope of joint users and purpose of use:

（a）Bookstores, sales outlets, university co-ops, and other distributors of electronic textbooks and electronic teaching materials that sell and manage electronic textbooks and electronic teaching materials used by User.

・To share and analyze the usage status, results, etc., of Services by Users; to conduct analysis of learning methods using the electronic textbooks and electronic teaching materials, analysis of lectures using the electronic textbooks and electronic teaching materials, and analysis of content suitable for the electronic textbooks and electronic teaching materials; and to conduct analysis and public relations and sales promotion activities to improve and promote the use of the electronic textbooks and electronic teaching materials.

5. Storage and Deletion of Personal Information

Personal information obtained by NTT EDX may be deleted after a certain period of time from such determination if NTT EDX determines that it is no longer necessary to continuously retain such personal information.

6. Outsourcing for Processing of Personal Information

6.1. NTT EDX may outsource all or part of the processing of personal information obtained. In this case, NTT EDX will provide necessary and appropriate supervision to the outsourced subcontractor.

6.2. When all or part of the processing of personal information is entrusted to NTT EDX by companies, schools, organizations, etc. using Service or by NTT EDX’s Group Companies, NTT EDX will process the entrusted personal information in order to carry out the entrusted business.

7. Procedures of Applications for Disclosure of Personal Information

7.1. NTT EDX will respond without delay to any requests (“Request”) from User or his/her representative for the notification of purpose of use, or disclosure, correction, addition or deletion of content, suspension of use, deletion, and suspension of provision to third parties for personal information in regard to the personal information obtained. Please note that, as the case may be, NTT EDX will decline requests for disclosure in accordance with relevant laws and regulations.

7.2. If you wish to make Request, please contact NTT EDX’s contact center. The details of the application procedure will be informed upon inquiry. To proceed with the application, User will need to submit a document that can confirm its identity (in case of the request by an agent, NTT EDX will ask User to submit such documents for both User and the agent).

8. Modification of Application Privacy Policies

To the extent permitted by the Personal Information Protection Act, NTT EDX may change all or part of this Application Privacy Policy. If changed, Application Privacy Policy after the change will be displayed on Application. The revised Application Privacy Policy will take effect when it is displayed on Application, unless otherwise specified by NTT EDX.

9. Voluntary Provision of Personal Information and Scope of Services

The provision of User’s personal information through Application is voluntary based on your decision. However, please note that the use of Service may be restricted if the personal information required for the provision of Service, etc. is not provided.
